1. Welcome to TowGo

These Terms of Service ("Terms") are a contract between you and TowGo Marketplace LLC ("TowGo," "we," "us," or "our"), a Michigan limited liability company. They govern your use of our websites, mobile apps, and other services (together, the "Platform").

Please read them carefully. By creating an account, tapping "I agree," or using the Platform, you agree to these Terms.

2. What TowGo Is (and What It Is Not)

TowGo runs a marketplace. We connect people who need roadside help ("Customers") with independent providers who can help ("Drivers," "Fleets," and "Shops").

TowGo is not a tow truck company. We do not own tow trucks. We do not employ Drivers. We do not perform tows or roadside repairs. The service you receive is provided by an independent third party — not by TowGo.

When you book a tow through the Platform, you are entering a service contract directly with the provider who accepts your job. TowGo helps you find each other, handle payment, and communicate — but the tow itself is between you and the provider.

3. Who Can Use the Platform

You may use TowGo if:

  • You are at least 18 years old.
  • You live in the United States (we do not currently serve customers outside the U.S.).
  • You can form a binding contract under applicable law.
  • You have not been previously banned from the Platform.

Drivers, Fleets, and Shops have extra requirements — see the appendices at the end of these Terms.

4. Your Account

You need an account to use most of the Platform. When you register:

  • Give us accurate and current information.
  • Keep your password safe. Do not share it.
  • You are responsible for everything that happens under your account.
  • Tell us right away if you think someone else is using your account. Email [email protected].
  • We may offer two-factor authentication. Please use it.

Only one account per person. If we find duplicate accounts, we may close them.

5. Fees and Payments

TowGo uses Stripe to process payments. Card and bank account information is handled by Stripe, not by us.

Prices for tow services are set on a per-job basis. Before you book, we will show you an estimate. The final price may vary based on distance, wait time, or on-site conditions. See our Refund Policy for how price changes and cancellations work.

TowGo charges a service fee for use of the Platform. The fee schedule is available in the app and on our website. We may change fees from time to time — changes apply to future jobs, not past ones.

6. Emergencies — Call 911 First

TowGo is for non-emergency roadside help. If you are hurt, in danger, or facing a medical emergency, call 911 first. Do not use the app to request help in an emergency. If someone is at risk of harm, always contact local emergency services before you contact us.

7. Prohibited Uses

You may not use the Platform to break the law, harm other people, or damage the Platform itself. Full details are in our Acceptable Use Policy, which is part of these Terms.

8. Your Content

You may post photos, ratings, reviews, chat messages, and other content on the Platform ("Your Content").

  • You own Your Content. We do not claim ownership.
  • You give us a license. By posting, you grant TowGo a worldwide, royalty-free, non-exclusive license to host, display, copy, adapt, and share Your Content so we can operate the Platform. This license continues even if you delete your account, for content that has already been shared (for example, a public review that another user relied on).
  • You are responsible for Your Content. Do not post anything you do not have the right to post.
  • Copyright complaints. If someone posts your copyrighted work without permission, see our DMCA Policy.

9. Our Intellectual Property

The TowGo name, logo, app design, website design, and all software are owned by TowGo Marketplace LLC. You may not copy, resell, reverse engineer, or use these for anything except your own personal use of the Platform.

10. Ratings, Reviews, and Community Standards

You may rate and review Drivers, and Drivers may rate Customers. Please be honest and fair. See our Community Guidelines for how we expect people to treat each other on the Platform.

11. Ending Your Account

You can leave any time. In the app, go to Settings > Account > Delete Account. When you request deletion:

  • You have a 30-day grace period to change your mind.
  • After 30 days, your personal profile is deleted.
  • Some records must be kept longer for legal reasons (see our Privacy Policy for the retention schedule).
  • Pending jobs must be finished, cancelled, or transferred before deletion completes.
  • Drivers with a Stripe balance receive their final payout within 7 days.

We can end your account too. We may suspend or close your account if you break these Terms, use the Platform in a harmful way, or if we are required to by law. We will tell you why when we can.

Effect of ending. Sections that should reasonably survive termination — like your responsibility for past actions, our intellectual property, disclaimers, and dispute resolution — remain in force.

12. Disclaimers

We are not the service provider. As explained in Section 2, tows and other roadside services are provided by independent third parties, not by TowGo. We do our best to vet Drivers, but we do not guarantee their work, availability, or quality.

The Platform is provided "as is." To the fullest extent allowed by law, we disclaim all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from a course of dealing or usage of trade.

No professional advice. Information in the Platform is for your general use only. It is not legal, tax, accounting, insurance, or medical advice. Talk to a qualified professional for advice about your specific situation.

Third-party links and services. The Platform may link to third-party sites (Stripe, mapping providers, and others). We are not responsible for those sites.

13. Limits on Our Liability

To the fullest extent allowed by law:

  • TowGo is not liable for indirect, incidental, special, consequential, or punitive damages — for example, lost profits, lost data, or personal injury caused by a service provider.
  • Our total liability to you for any claim related to the Platform is capped at the greater of (a) the fees you paid TowGo in the 12 months before the claim, or (b) $100.

Some states do not allow certain limits. If you live in a state that doesn't allow them, those limits do not apply to you.

14. Your Responsibility to Us (Indemnification)

You agree to defend, indemnify, and hold harmless TowGo, its owners, officers, employees, and contractors from any claim or demand — including reasonable attorneys' fees — arising from:

  • Your use of the Platform;
  • Your breach of these Terms;
  • Your Content; or
  • Your violation of another person's rights or of any law.

We agree to do the same for you for claims arising from our own gross negligence or willful misconduct.

15. How Disputes Are Resolved

15.1 Talk to us first. If you have a problem, please email [email protected] and give us 30 days to try to fix it. Most problems can be solved this way.

15.2 Binding arbitration. If we can't resolve it, you and TowGo agree that any dispute will be resolved by binding arbitration, not in court, except that either side may bring a claim in small-claims court. Arbitration will be run by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The seat of arbitration is Detroit, Michigan.

15.3 Class action waiver. You and TowGo agree that any dispute will be brought only in an individual capacity — not as a class action, collective action, or representative action.

15.4 Your right to opt out. You may opt out of arbitration and the class-action waiver by emailing [email protected] within 30 days of first accepting these Terms. Include your name, the email on your account, and a clear statement that you are opting out. If you opt out, disputes will be resolved in the courts described in Section 16.

15.5 Injunctions. Either side may go to court to stop the other from using its intellectual property or confidential information improperly.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws rules. If for any reason arbitration does not apply, you and TowGo agree to the exclusive jurisdiction of the state and federal courts located in Wayne County, Michigan.

17. Changes to These Terms

We may update these Terms from time to time. When we do:

  • Small changes (typos, clarifications, small formatting fixes) — we post the update and note the new "Last updated" date.
  • Bigger changes — we give you at least 30 days notice by email and in the app, and we ask you to accept the new Terms before you use the Platform again.

The most current version is always at /legal/terms-of-service. Prior versions are archived at /legal/terms-of-service/<version>.

18. Other Important Things

  • Entire agreement. These Terms — together with the Privacy Policy, Refund Policy, Acceptable Use Policy, and Community Guidelines — are the entire agreement between you and TowGo.
  • Severability. If any part of these Terms is found unenforceable, the rest still applies.
  • No waiver. If we don't enforce a right, that doesn't mean we give it up.
  • Assignment. You may not transfer your account or these Terms without our permission. We may transfer them (for example, in a sale of the business).

Appendix A — Terms for Customers

If you use TowGo to request roadside help, these extra terms apply to you.

  • You confirm you own or have permission to move the vehicle you are requesting help for.
  • Estimates are estimates. The final price may change based on distance, wait, or what the Driver finds on arrival.
  • Cancellation fees. If you cancel late, you may be charged a fee. See our Refund Policy for the exact ladder.
  • Ratings. Please rate your Driver honestly. Ratings help everyone.
  • Disputes about a specific job. You have 24 hours after a job ends to open a dispute in the app. We aim to respond within 48 hours.

Appendix B — Terms for Drivers

If you accept jobs on the Platform, these extra terms apply to you.

  • Independent contractor. You are an independent contractor, not an employee of TowGo. You control when, where, and how you work. You are not entitled to employee benefits.
  • Licensing and insurance. You must hold and maintain all licenses, permits, and insurance required by your state and municipality for tow operators. This includes valid commercial liability, garage-keepers, and on-hook coverage where required. If your coverage lapses, we may deactivate you.
  • Background check. You consent to a criminal background check and MVR review at signup and periodically. Deactivation criteria are described in the Driver Handbook.
  • Payouts. TowGo pays out your earnings on the schedule shown in your app (typically net-1 or net-7). Payouts are made via Stripe Connect.
  • Taxes and 1099s. You are responsible for your own taxes. If we pay you $600 or more in a calendar year, we will issue a Form 1099-NEC. This is not tax advice — consult a tax professional.
  • Exclusivity. You are free to accept jobs on other platforms. TowGo does not require exclusivity.
  • Deactivation and appeals. We may deactivate you for safety concerns, insurance lapses, repeated cancellations, low ratings, fraud, or violations of these Terms. You may appeal by emailing [email protected] within 30 days.
  • On-the-job conduct. Follow all traffic and safety laws. Do not drive under the influence. Do not use the app while driving. Do not share Customer information off-platform.

Appendix C — Terms for Fleet Operators

If you run a roster of Drivers on the Platform, these extra terms apply to you.

  • You are responsible for your Drivers. You must confirm each Driver has valid licensing and insurance. You must maintain your fleet insurance and DOT registration where applicable.
  • Roster management. You are responsible for keeping your driver roster up to date. Removing a Driver from your roster does not automatically deactivate their TowGo account — please tell us.
  • Indemnification for driver acts. You will indemnify TowGo for claims arising from the acts or omissions of your Drivers.
  • Reconciliation. Fleet earnings are reconciled monthly. Statements are available in the Fleet portal.
  • Insurance certificates. Upload a current certificate of insurance and update it before expiration. If it expires, we may pause your roster.
  • DOT compliance. If DOT rules apply to your operation, you represent that you are in compliance.

Appendix D — Terms for Shop Partners

If you receive referral work through the Platform, these extra terms apply to you.

  • Referral acceptance. You may accept or decline referrals at your discretion.
  • No kickbacks. You may not pay a Customer, Driver, or TowGo employee to steer business to you.
  • Work quality. You will perform any work to industry standards and honor all manufacturer and shop warranties.
  • Michigan Motor Vehicle Service and Repair Act. If you operate in Michigan, you represent that you comply with the Motor Vehicle Service and Repair Act (MCL 257.1301 et seq.).
  • Warranty pass-through. Original-equipment and parts warranties must pass through to the Customer.
  • Communication. Keep the Customer informed of estimates, delays, and completion. Use the Platform for status updates when a job is routed through us.

Appendix E — Terms for Business Customers

If you use TowGo on behalf of a business (fleet operator, dealer, insurance carrier, or other), these extra terms apply to you.

  • Authority. The person accepting these Terms represents they have authority to bind the business.
  • Invoicing. We offer invoiced billing on Net-15 terms subject to credit approval. Contact [email protected] to apply.
  • Purchase orders. We accept POs on approved accounts. POs referencing conflicting terms do not modify these Terms unless we sign them.
  • Master Services Agreement. If your business has signed a separate MSA with TowGo, that MSA governs where it conflicts with these Terms.
  • Data processing. For business customers who process personal data through the Platform, contact [email protected] to sign a data processing agreement.
